"OpenClover" is not a registered legal entity. It is not incorporated as a company, association, foundation or any other legal person, and it is not registered with any tax authority, companies register or court of any jurisdiction. References to "OpenClover" on this website and in the project's source code and documentation should accordingly be understood as references to an informal, unincorporated group of individuals developing and maintaining the OpenClover software under that name, and not as references to a legal entity capable of holding rights or obligations in its own name.
For the avoidance of doubt, and for the benefit of any party seeking to establish authorship of, or ownership of copyright in, the software: the OpenClover project is represented, for purposes of project governance, by the individual(s) holding administrator ("owner") rights over the github.com/openclover organisation on GitHub. As of the date of this notice, the sole such administrator is Marek Parfianowicz.
Copyright in the OpenClover software is accordingly not vested in "OpenClover" as such, but is held individually by each contributor in respect of the contribution(s) they authored. Each contributor retains all right, title and interest in their contribution, while granting the project a perpetual, worldwide, non-exclusive, royalty-free and irrevocable license to use, reproduce, prepare derivative works of, distribute, sublicense and publicly display the contribution on any licensing terms, including the Apache License, Version 2.0 under which the software is distributed (see "OpenClover software" above).
The full terms accepted by contributors are set out in CONTRIBUTING.txt. Copyright notices using the name "OpenClover" should be read as referring collectively to those contributors and do not assert the existence of a separate legal entity by that name.
